Engagement & Fulfillment Policy

Go Viral LLC (“GoldCapital Consulting,” “Go Viral,” “we,” “our,” or “us”) provides strategic advisory services related to fundraising education and preparation for early-stage technology companies and high-growth businesses. Because our services are consultative, customized, and delivered in real time, we do not offer physical products, and no goods are shipped.

This Engagement and Fulfillment Policy describes how our services are delivered, what is and is not included, and the terms governing payment, refunds, cancellations, and chargebacks. By engaging our services, you acknowledge that you have read and agree to this policy.

01Nature of Services

Go Viral LLC provides strategic guidance, fundraising education, and advisory support. Our services may include, but are not limited to, fundraising strategy development, narrative and positioning advisory, pitch deck development and iteration, financial model advisory, data room preparation, investor targeting strategy, outreach strategy advisory, pitch coaching and preparation, and ongoing process management guidance through the duration of a fundraising effort.

Our services are advisory in nature. We do not sell, offer, or negotiate securities, make introductions to investors, facilitate securities transactions, hold investor funds, manage investment transactions, or provide investment, legal, financial, or tax advice. Our compensation is structured exclusively as flat advisory fees and is not contingent upon the outcome of any fundraising transaction or capital raise.

Certain services that may complement or supplement our advisory work, including investor introductions, may be provided by independent third-party service providers under their own separate agreements with the client. Such providers are not affiliated with, controlled by, or compensated by Go Viral LLC, and their services are not included in or governed by our Consulting Services Agreement.

02Commencement and Fulfillment of Services

Services commence upon the execution of a written Consulting Services Agreement and receipt of the agreed-upon payment. Execution of the agreement and receipt of payment shall each independently constitute commencement of work for purposes of this policy, as Go Viral immediately allocates internal resources, schedules advisory sessions, and begins strategic planning upon either event occurring.

Go Viral will deliver services in accordance with the scope, timeline, and terms outlined in the executed Consulting Services Agreement. Fulfillment is considered complete when all services specified in the Consulting Services Agreement have been rendered, or when the term of the engagement has elapsed, whichever occurs first.

Client responsiveness, participation, and cooperation are essential to the delivery of our services. Delays or non-participation by the client do not extend the engagement term, reduce fees owed, or constitute a failure of fulfillment by Go Viral.

03No Guarantee of Results

Go Viral LLC does not guarantee any specific fundraising outcome, investor interest, capital commitment, business result, or financial return. Fundraising and capital raising are inherently uncertain, and success depends on numerous factors outside of our control. The engagement of our services should not be interpreted as a promise, representation, or guarantee that the client will raise capital, receive investor meetings, secure term sheets, or achieve any particular business outcome. Clients should not engage our services with the expectation of any guaranteed result.

04Refund Policy

All fees paid to Go Viral LLC are non-refundable once an engagement has commenced. Due to the strategic, consultative nature of our services, the immediate allocation of internal resources, and the customized nature of all deliverables, no refunds or proration shall be provided under any circumstances. This includes, without limitation, situations where:

• the client is dissatisfied with the services
• the client's fundraising effort does not result in a successful capital raise
• the client elects to terminate the engagement early
• the client becomes unresponsive or ceases to participate in the advisory process
• the client's business circumstances change
• external market conditions affect the client's fundraising prospects

By engaging our services, the client acknowledges and agrees to this non-refundable fee structure. This policy is also set forth in the Consulting Services Agreement executed by each client.

05Cancellation Policy

Clients may not cancel their engagement after executing a Consulting Services Agreement. Once a Consulting Services Agreement has been executed and payment has been received, the engagement is binding for the full term specified in the agreement. Early termination by the client does not entitle the client to any refund, proration, or credit. All cancellation and termination terms are governed by the executed Consulting Services Agreement, which controls in the event of any conflict with this policy.

06Chargeback and Payment Dispute Policy

By engaging Go Viral LLC and making payment under a Consulting Services Agreement, you agree that you will not initiate a chargeback, payment dispute, or reversal of any payment made to Go Viral LLC through any payment processor, bank, credit card company, or financial institution.

If a chargeback or payment dispute is initiated, Go Viral LLC reserves the right to submit all relevant documentation to the payment processor or financial institution, including the executed Consulting Services Agreement, this Engagement and Fulfillment Policy, evidence of services rendered, correspondence, and any other materials demonstrating that the charge was authorized and that services were delivered in accordance with the agreement.

You acknowledge that initiating a chargeback or payment dispute does not relieve you of your payment obligations under the Consulting Services Agreement, and that any outstanding balance resulting from a reversed payment shall remain due and payable, subject to the late payment and collection provisions of the Consulting Services Agreement. Go Viral LLC reserves the right to pursue all available legal remedies in connection with any disputed payment, including recovery of the disputed amount, attorneys' fees, legal costs, and collection expenses.

07Return Policy

Go Viral LLC does not sell physical products. No returns are offered. All services are custom, delivered in real time, and non-returnable once rendered.

08Client Responsibilities

Clients are expected to participate actively and in good faith in the advisory process, including attending scheduled calls and meetings, providing requested information and materials in a timely manner, being responsive to communications, and making business decisions necessary to advance their fundraising efforts. Go Viral's ability to deliver effective advisory services depends on the client's active engagement. Failure by the client to participate, respond, or cooperate does not constitute a failure of service by Go Viral and does not entitle the client to any refund, extension, or additional services beyond the scope of the Consulting Services Agreement.

09Dispute Resolution

Any disputes arising from or related to this policy, the engagement of our services, or any Consulting Services Agreement shall be governed by our Terms of Service, including the dispute resolution, governing law, jurisdiction, jury trial waiver, and attorneys' fees provisions contained therein. By engaging our services, you agree to the dispute resolution terms set forth in our Terms of Service at www.goldcapitalconsulting.com/termsofservice.

10Relationship to Consulting Services Agreement

This Engagement and Fulfillment Policy supplements but does not replace the terms of any executed Consulting Services Agreement. In the event of any conflict between this policy and an executed Consulting Services Agreement, the Consulting Services Agreement shall control.

11Changes to This Policy

Go Viral LLC reserves the right to update or modify this policy at any time. The updated policy will be posted on this page with a revised effective date. Changes apply to engagements commenced after the effective date of the updated policy and do not retroactively modify the terms of any previously executed Consulting Services Agreement.
