Last updated: March 19, 2026 · Go Viral LLC
This Capital Markets Risk Disclosure is provided by Go Viral LLC (“GoldCapital Consulting,” “Go Viral,” “we,” “our,” or “us”) to inform our clients, prospective clients, and website visitors of the risks generally associated with early-stage fundraising, private capital markets, and investment in private securities. This disclosure is intended for educational and informational purposes and is provided in the context of Go Viral's role as a strategic advisory firm that works with early-stage founders preparing to raise capital.
This disclosure is not intended as investment advice, legal advice, financial advice, or tax advice. All parties are strongly advised to seek independent legal, financial, tax, and accounting counsel before making any investment, fundraising, or business decisions.
01Role of Go Viral LLC
Go Viral LLC, operating as GoldCapital Consulting, is a startup-business advisory firm that provides strategic guidance, fundraising education, and advisory support to early-stage technology companies and high-growth businesses. We are not a registered broker-dealer, placement agent, finder, investment advisor, legal advisor, tax advisor, or financial institution. We do not sell, offer, or negotiate securities, facilitate securities transactions, make introductions to investors, hold or handle investor funds, manage investment transactions, or provide investment recommendations. Our compensation is structured exclusively as flat advisory fees and is not contingent upon, tied to, or calculated based on the outcome of any fundraising transaction, capital raise, or investment. Go Viral does not participate in, intermediate, or facilitate any securities transaction. Our services are limited to advising founders on fundraising strategy, positioning, materials preparation, and process management.
Certain services that may complement or supplement Go Viral's advisory work, including investor introductions, may be provided by independent third-party service providers under their own separate agreements with the client. Such providers are not affiliated with, controlled by, or compensated by Go Viral LLC, and their services are not included in or governed by Go Viral's Consulting Services Agreement. Go Viral is not responsible for the actions, decisions, representations, or omissions of any such third-party service provider.
02No Guarantee of Results
There is no assurance that any fundraising effort, capital raise, offering, or investment opportunity will result in successful capital raising, a financial return, or any particular business outcome. Past performance, examples, case studies, testimonials, or metrics referenced on this website or in Go Viral's communications are not indicative of future results. Each fundraising effort and each investment opportunity carries its own set of risks, which must be evaluated independently. Go Viral LLC does not guarantee any specific fundraising outcome, investor interest, capital commitment, or financial result. Many early-stage fundraising efforts do not result in a successful capital raise, and some founders may not raise any capital at all.
03Risks of Early-Stage Fundraising and Private Securities
Clients of Go Viral are typically early-stage technology founders seeking to raise private capital. The following risks are generally associated with early-stage fundraising and private securities transactions and are provided here for educational purposes to help our clients understand the landscape in which they and their prospective investors operate.
Illiquidity and Loss of Capital
Private securities and early-stage investment opportunities are typically illiquid. Investors in early-stage companies may not be able to sell or transfer their interests and may not recover their invested capital. Investments in early-stage companies are highly speculative and carry a substantial risk of complete loss.
Unregistered Securities
The securities associated with early-stage capital raises are generally not registered with the U.S. Securities and Exchange Commission (SEC) and are not publicly traded on any national securities exchange. Such securities are typically offered under exemptions from registration, including Regulation D under the Securities Act of 1933. Unregistered securities may not be subject to the same regulatory scrutiny, disclosure requirements, or investor protections as publicly traded securities.
No FDIC Insurance or Government Guarantee
Investments in private securities are not insured by the Federal Deposit Insurance Corporation (FDIC) or any other government agency. They are not guaranteed by any party, including Go Viral LLC, and may lose some or all of their value.
Accredited Investor Requirements
Many private securities offerings are limited to accredited investors as defined by Rule 501 of Regulation D under the Securities Act of 1933, or to qualified purchasers under the Investment Company Act of 1940. It is the sole responsibility of each investor to determine their eligibility and financial suitability before participating in any offering. Go Viral does not verify investor accreditation status or suitability.
Regulatory Risk
Early-stage capital raises are subject to federal and state securities laws and regulations, which may change over time. Changes in law, regulation, or regulatory interpretation may adversely affect the ability of issuers to raise capital, the terms on which capital is raised, or the rights of investors. Founders and investors should consult with their own legal counsel regarding applicable regulatory requirements.
Valuation Risk
Early-stage companies are inherently difficult to value. Valuations used in fundraising may be based on assumptions, projections, or comparable transactions that may not reflect actual market conditions or future performance. There is no guarantee that any valuation used in a fundraising effort will prove to be accurate or that the company will achieve the financial performance implied by its valuation.
Dilution Risk
Founders and early investors in early-stage companies may experience significant dilution as the company raises additional capital in subsequent rounds. The terms of future financings may include preferences, protections, or conversion rights that dilute the economic interests or governance rights of earlier investors.
Business Risk
Early-stage companies face significant risks related to product development, market adoption, competition, regulatory compliance, team execution, cash flow management, and numerous other factors. The majority of early-stage companies fail, and there is no guarantee that any company advised by Go Viral will succeed as a business, regardless of the outcome of its fundraising effort.
04Due Diligence
Go Viral strongly encourages all parties — founders, investors, and any other participants in the capital-raising process — to conduct their own thorough and independent due diligence prior to making any investment, fundraising, or business decisions. Go Viral does not independently verify, audit, or guarantee the accuracy of any financials, claims, projections, representations, or materials provided by clients, issuers, investors, or any third party. Participation in any fundraising effort or investment should be based on a complete and independent review of all relevant offering documents, financial statements, legal agreements, and other disclosures, and on the advice of qualified legal, financial, and tax professionals.
05No Responsibility for Third-Party Actions or Decisions
Go Viral LLC is not responsible for the actions, decisions, representations, or omissions of any third party, including but not limited to investors, venture capital firms, angel investors, family offices, accelerators, incubators, independent service providers, legal counsel, financial advisors, accountants, or any other person or entity. Go Viral does not endorse, recommend, or guarantee any investor, investment fund, accelerator, service provider, or other third party referenced on this website or in our communications. References to third-party organizations or individuals do not constitute endorsements by those parties or endorsements of those parties by Go Viral.
Go Viral does not verify the credentials, financial condition, or suitability of any investor or third party. Founders are solely responsible for conducting their own due diligence on any investor or partner they engage with, regardless of how the connection was made.
06Forward-Looking Statements
Certain content on this website or in our communications may contain forward-looking statements that reflect current expectations, projections, or beliefs about future events, performance, or results. These statements are inherently uncertain, involve known and unknown risks, and actual results may differ materially from those expressed or implied. Forward-looking statements should not be relied upon as predictions of future outcomes. Go Viral LLC assumes no obligation to update or revise any forward-looking statements.
